These Subscription Terms govern paid subscriptions to the Capydox Service (monthly or annual plans), and supplement the public Capydox Terms of Service and any applicable Enterprise Terms.
By purchasing a Capydox subscription, you agree to these Subscription Terms in addition to the other Capydox legal documents.
1. Scope and subscription model
1.1 Subscription-based Service
Capydox is offered as a cloud-based software service (SaaS) under a recurring subscription model, typically monthly or annually, depending on the plan you select.
1.2 Business use (B2B)
Capydox subscriptions are primarily intended for business, professional and organisational use. If you act as a consumer, additional rights under your local law may apply.
2. Plans, tiers and free trials
2.1 Plans and features
Capydox may offer different subscription plans (for example based on number of users, workspaces, capacity or features). The current description of each plan is shown on the pricing page or during signup.
2.2 Free trials
Some plans may include a free trial for a limited period specified at signup (for example a certain number of days). During the free trial:
- No subscription fees will be charged, provided you cancel before the end of the trial.
- If you do not cancel in time, your subscription will automatically convert to a paid plan and the applicable fee will be charged on the date indicated at signup.
2.3 Eligibility and changes to trials
Capydox may restrict free trials to new customers or selected plans and reserves the right to modify or discontinue free trials at any time, without affecting trials that are already active.
3. Billing cycles and auto-renewals
3.1 Billing cycles
Subscriptions are billed in advance on a recurring basis (for example monthly or annually), according to the plan selected.
3.2 Automatic renewal
Unless you cancel your subscription in accordance with clause 6, your subscription will automatically renew at the end of each billing cycle, and the payment method on file will be charged for the next term.
3.3 Renewal notices
For annual or longer-term subscriptions, Capydox may send reasonable renewal reminders, without prejudice to the automatic renewal of active subscriptions.
4. Fees, taxes and price changes
4.1 Plan fees
Fees for each plan are set out on the pricing page or in the applicable Order Form. Unless otherwise stated, fees are exclusive of any applicable taxes.
4.2 Taxes
You are responsible for any taxes, levies or duties applicable to your subscription (excluding taxes based on Capydox's income), which will be added to invoices where required by law.
4.3 Price changes
Capydox may update plan fees from time to time. For active subscriptions:
- Price changes will apply from the next billing cycle.
- You will be notified with reasonable advance notice (for example via email or in-app notice), so that you may decide whether to continue or cancel before the new fee takes effect.
5. Payments, payment methods and failed charges
5.1 Payment processing
Subscription payments are processed via a third-party payment provider (for example Stripe or an equivalent provider). By providing your payment details, you authorise recurring charges for the applicable subscription fees.
5.2 Payment methods
Accepted payment methods are those displayed during checkout (for example credit/debit card or other methods enabled by the payment provider). You are responsible for:
- Keeping your payment method details accurate and up to date.
- Ensuring sufficient funds or credit at the time of each charge.
5.3 Failed payments and retries
If a payment fails, the payment provider and/or Capydox may:
- Automatically retry the charge several times over a reasonable period.
- Notify you and request that you update your payment method.
If payment remains outstanding after retries and notices, Capydox may suspend or limit access to the Service and eventually cancel the subscription, without prejudice to any outstanding amounts.
6. Cancellation and refunds
6.1 Cancellation by Customer
You may cancel your subscription at any time via your account settings or as otherwise instructed on the website or in billing emails.
- Unless otherwise stated, cancellation takes effect at the end of the current billing period.
- You will retain access to the Service until the end of that period, and no further subscription fees will be charged thereafter.
6.2 No refunds
Except where required by mandatory law or expressly stated otherwise by Capydox, subscription fees that have already been billed and paid are non-refundable, including where you cancel before the end of the paid term.
6.3 Free trials and first charge
If you are on a free trial:
- No fees will be charged if you cancel before the trial ends.
- If you do not cancel in time, the first fee will be charged on the date specified at signup, and from that point onward the general no-refund rules apply.
7. Plan changes (upgrade/downgrade)
7.1 Upgrades
You may upgrade to a higher-tier plan at any time. Unless otherwise stated:
- The additional fee may be prorated for the remainder of the current term.
- The full new fee will apply from the next billing cycle.
7.2 Downgrades
If you downgrade to a lower-tier plan:
- The downgrade will typically take effect at the start of the next billing period.
- Capydox may enforce new limits (for example fewer users or workspaces) when the downgraded plan becomes effective.
8. Subscription-related communications
Capydox may send you subscription-related communications (for example billing confirmations, renewal notices, failed payment alerts, or price change notices) to the email address associated with your account or via in-app notifications.
These communications are considered essential to the provision of the subscription while it remains active.
9. Relationship with other documents
These Subscription Terms must be read together with:
- The Capydox Terms of Service.
- The Privacy Policy and Cookie Policy.
- Any applicable DPA and SLA.
In case of any specific inconsistency relating to billing, payments, renewals or cancellations, these Subscription Terms will prevail over the general Terms of Service, unless otherwise agreed in writing.
